These Terms of Service (“Terms”) govern your access to Saham.US, including the website at saham.us and its related content, tools, and features (the “Services”). Saham.US is operated by Equistra Corporation (“Equistra,” “we,” “us,” or “our”).
By registering for or using the Services, you agree to these Terms and our Privacy Statement. If you do not agree, you may not use the Services.
1. The Services
Saham.US provides research and analytics tools for self-directed investors. Features may include an equity screener, market regime dashboard, event studies, curated watchlists, portfolio models, articles, and other market information.
The Services are for research and general educational purposes. Saham.US does not execute trades or hold or custody user funds or securities. Use of Saham.US does not create an investment advisory or brokerage relationship with Equistra or any other company. Any financial service offered through a separate provider is governed by that provider’s own agreements and disclosures.
We may add, change, suspend, or discontinue features. We will provide notice where required by law or where a change materially affects a paid subscription.
2. Eligibility and accounts
You must be at least 18 years old and legally capable of agreeing to these Terms. You are responsible for complying with laws applicable to your use of the Services.
To access certain features, you must create an account and provide accurate, current information. You are responsible for keeping your credentials confidential and for activity under your account. Notify us promptly at hello@saham.us if you believe your account has been accessed without authorization.
Accounts are for individual use unless your plan expressly allows otherwise. You may not share your credentials with another person. We may restrict accounts that are shared or used by multiple concurrent users.
3. Subscriptions, billing, and cancellation
Current subscription prices and included features are shown on the website. Paid plans are billed monthly or annually in advance through our payment processor, Stripe. The price, billing frequency, and any applicable trial or promotional terms will be shown before you subscribe.
A paid subscription renews automatically for the same billing period unless you cancel before the next renewal charge. By subscribing, you authorize recurring charges to your selected payment method until you cancel. You may cancel through your account settings. Cancellation stops future renewal charges, and your paid access continues through the end of the current billing period.
We do not provide refunds for unused portions of a billing period, except where required by law or expressly stated in an offer. We will provide notice before a price change takes effect for an existing subscription. If you do not agree to the new price, you may cancel before it takes effect.
4. Permitted use
We grant you a limited, nonexclusive, nontransferable right to access and use the Services for your personal, noncommercial research while you comply with these Terms.
You may not:
- Reproduce, redistribute, retransmit, publish, or resell content or data from the Services without our prior written consent;
- Use bots, scrapers, or other automated means to access the Services or extract data;
- Reverse engineer, decompile, or attempt to obtain the source code of the Services, except where applicable law permits it;
- Bypass access limits, subscription controls, or security measures;
- Submit unlawful, infringing, or harmful material;
- Misrepresent your identity or affiliation;
- Interfere with the operation or security of the Services; or
- Use the Services or their data to build a competing product without our written permission.
We may remove material or restrict access when reasonably necessary to address a violation.
5. Content and intellectual property
The Services include market data, screens, watchlists, model portfolios, articles, software, designs, trademarks, and other material (“Content”). Equistra and its licensors, including third-party data providers, retain their rights in the Services and Content. Your account or subscription does not transfer ownership of them to you.
You retain rights to information you submit to the Services. You grant us permission to host and process it as needed to provide the features you use, subject to our Privacy Statement. You must have the right to submit that information.
6. Investment information and risks
Content is provided for general information and education. It is not tailored to your financial situation, objectives, or risk tolerance and does not constitute a personal investment recommendation or a solicitation to buy or sell a security. You are responsible for evaluating information and making your own investment decisions.
Market data may be delayed or contain errors. Screens, estimates, forecasts, valuations, and portfolio models rely on data and assumptions that can change. Past performance does not predict future results. Equistra, its personnel, and affiliates may hold positions in securities discussed in the Content.
7. Third-party data and links
Some Content comes from third-party data providers. Their data may be subject to additional use restrictions and may be incomplete, inaccurate, or delayed.
The Services may link to websites or services operated by others. We do not control their content or practices. Your use of a third-party service is subject to its own terms and privacy policies.
8. Availability and disclaimers
We aim to provide a reliable service, but we do not guarantee uninterrupted access or that Content will always be accurate, complete, current, or suitable for a particular purpose.
To the extent permitted by law, the Services and Content are provided “as is” and “as available,” without express or implied warranties, including warranties of merchantability, fitness for a particular purpose, and noninfringement. Nothing in these Terms excludes a warranty or right that cannot legally be excluded.
9. Limitation of liability
To the extent permitted by law, Equistra and its data providers are not liable for indirect, incidental, special, consequential, or punitive damages arising from the Services, including lost profits or investment losses. Equistra’s total liability for a claim relating to the Services will not exceed the amount you paid Equistra for the Services during the 12 months before the event giving rise to the claim.
These limits do not apply where applicable law prohibits them.
10. Indemnification
To the extent permitted by law, you agree to indemnify Equistra and its officers, directors, employees, and agents against third-party claims and reasonable costs arising from your material breach of these Terms or unlawful misuse of the Services.
11. Suspension and termination
You may stop using the Services at any time and may cancel a subscription through your account settings. We may suspend or terminate access if we reasonably believe you have materially violated these Terms, provided false account information, or engaged in unlawful conduct. Where practicable, we will give you an opportunity to address the issue, unless immediate action is needed to protect the Services or others.
Provisions that reasonably need to continue after termination, including those concerning intellectual property, disclaimers, liability, disputes, and amounts already owed, will survive.
12. Changes to these Terms
We may update these Terms from time to time. We will post the revised version with a new “Last updated” date and give additional notice of material changes through the website or by email. If you do not agree to revised Terms, you must stop using the Services and cancel any subscription before its next renewal.
13. Governing law and disputes
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law rules. Disputes relating to these Terms or the Services will be brought in the state or federal courts located in Delaware, unless applicable consumer law gives you the right to bring a claim elsewhere. Nothing in this section limits rights that cannot be waived under applicable law.
14. General terms
You may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition, or transfer of the Services. If a provision is unenforceable, the remaining provisions remain in effect.
These Terms and our Privacy Statement constitute the agreement between you and Equistra regarding the Services. Notices to you may be sent to the email address associated with your account.
